The representations and warranties, covenants, notices, governing law, counterparts, process agent, Contracts (Rights of Third Parties) Act 1999 exclusions, meaningless indemnities — all that pointless heft down the back of the agreement that no-one reads, which makes a simple agreement look intimidating. You won’t be surprised at how verbose and convoluted these clauses can be, but they can be.
