11 Miscellaneous

11(1) If any provision of the Agreement is void or unenforceable, the remaining provisions shall remain unimpaired. Such deficient provision shall be substituted by a provision which reflects appropriately the parties’ intent.

11(2) The Agreement is subject to the law of the Federal Republic of Germany.

11(3) The courts at the location of the Bank’s office through which the Agreement is entered into shall have non-exclusive jurisdiction.

11(4) The Master Agreement in the version hereby agreed shall also apply to all Transactions, if any, of the parties under the Master Agreement of an earlier version. Such Transactions shall be regarded as Transactions under the Master Agreement in this new version. However, the previous version shall remain effective for such Transactions to the extent that this is necessary in order to maintain the proper meaning of the provisions thereof.
