Template:Good Confidentiality obligation

Receiver must, and will ensure each Necessary Recipient does:
(a) not disclose Confidential Information to any person except as is permitted under this agreement;
(b) use the Confidential Information only for the Purpose.
(c) maintain effective information barriers so that no-one other than a Necessary Recipient can access Confidential Information.
(d) return, destroy or put beyond practical use all Confidential Information when the Disclosing Party requires it (but subject to laws, regulations and practical limitations).
