Template:Nda Exclusions from confidential information

Confidential information does not include information which:

1. is or becomes public other than as a result of breach by Receiver of a confidentiality obligation.
2. Receiver held non-confidentially before the Discloser provided it to Receiver <liL Receiver subsequently acquired it on a non-confidential basis from a third party source who, to the best of Receiver’s knowledge, is not bound by a duty of confidence.
3. Receiver independently developed without using the Confidential Information.
