Confidential Information means all information you disclose to us relating to the Purpose (Disclosed Information) and any information we derive from your proprietary information (Derived Information), other than information which:

(a) is in the public domain (other than through our breach of this agreement);
(b) we held before you give to us and which we did not ourselves obtain under an obligation of confidence;
(c) we obtain from a third person other than through a breach of your confidence; or
(d) we developed independently, without reference to any Confidential Information.
