Template:Good Confidential information

Confidential information means all information you disclose to us relating to the Purpose (Disclosed Information) and any information we derive from it (Derived Information), other than information which:

(a) is in the public domain (other than through our breach of this agreement);

(b) we held before you give to us and which we did not ourselves obtain under an obligation of confidence;

(c) we obtain from a third person other than through a breach of your confidence; or

(d) we developed independently, without reference to any Confidential Information.
