Holding and use: The Recipient must:
(a) Keep confidential: Keep the Confidential Information confidential, store it securely and treat it with at least as much care as it treats its own confidential information.
(b) Not disclose: Not disclose, or permit access to, the Confidential Information except as contemplated by this Agreement.
(c) Need to know: Only share such Confidential Information with such of its personnel, agents, advisors or affiliates as is reasonably necessary to carry out the Project.
(d) Ensure compliance: ensure everyone with whom it shares Confidential Information understand and observe the terms of this Agreement.
(e) Not misuse: not let anyone use Confidential Information except to carry out the Project.
