Dividend Recovery: If:

(i) the amount an Issuer actually pays to holders the relevant Share for any Qualifying Dividend differs from the declared dividend; or
(ii) the Issuer makes no payment or delivery in respect of that dividend by the third Business Day after its due date —

the Calculation Agent may adjust the Transaction (and may require a repayment) to account for that event.

This section (Dividend Recovery) will survive termination of the Transaction.
