11.2 Assignment to Affiliates
A Party may assign and transfer its rights and obligations under Agreement to an Affiliate on notice to, but without the consent of the other Party, provided that the assignor remains liable for the performance of any obligations that that Affiliate fails to perform (even if that Affiliate ceases to be an Affiliate of the assignor).
