11.5 No Adverse Assignment
A Party may not assign or transfer to any person any of its rights or obligations in respect of Agreement (including any Transaction) without the written consent of the other Party if that assignment or transfer would render any right of the other Party in respect of Agreement unenforceable, the performance of any obligation by either Party in respect of Agreement illegal or adversely affect the other Party's position in relation to tax.
