THEM c) Notwithstanding any provision of this Agreement to the contrary, at any time where, pursuant to the terms of the Security Agreement, Chargor is entitled to the return of all of the Collateral held in the Account, Chargor may request Secured Party's consent to terminate this Agreement and return that Collateral by providing written notice to Secured Party and Securities Intermediary. Provided that (acting in a commercially reasonable manner) Secured Party is satisfied that the Chargor is so entitled, Secured Party will promptly and within 3 business days provide such consent. Securities Intermediary shall, without inquiry and in reliance on Chargor’s notice, transfer the Collateral pursuant to the Written Instructions of Chargor and upon completion of such transfer of Collateral, this Agreement shall terminate.
